Terms and Conditions of Use (aimenu.ar)
Last updated: October 29, 2026
Welcome to aimenu.ar (hereinafter, "aimenu", "the Platform" or "the Service"). By accessing or using the Platform, you agree to be bound by these Terms and Conditions. If you do not agree, you may not access the Service.
1. Identity of the Provider
aimenu.ar is a software service provided by an individual under the Monotributo tax regime of the Argentine Republic, with legal domicile in the province of Santiago del Estero, Argentina.
For the purposes of notifications, legal and/or judicial demands, the provider establishes a special domicile at:
Estudio Jurídico Salvatierra y Asociados 24 de Septiembre 574, Santiago del Estero, Argentina (CP 4200)
For commercial or operational inquiries, you must use the contact channels enabled within the Platform (see in-app ticket system, 10.2. Support).
2. Definitions
- "Service" or "Platform": the software provided as a service (SaaS) by aimenu.ar, including the digital menu, ordering system, management panel (KDS), artificial intelligence tools and their integrations.
- "Client": the individual or legal entity that registers and contracts the Service for commercial use (restaurant, bar, franchise, etc.), also referred to as "the Brand" or "the Establishment" depending on the organizational level.
- "End User" or "Diner": the person who uses the Platform to consult the menu, place orders or interact with the Establishment, without being a party to the commercial subscription agreement.
- "Subscription": the recurring payment agreement for continued use of the Service.
- "Packs": additional services with a single payment and finite consumption (e.g. AI image generation, advanced reports).
- "AI-Generated Content": any text, image, translation, dietary label or suggestion produced by the artificial intelligence models integrated into the Platform from instructions or material provided by the Client.
- "Receipt": the ticket or order summary that the Platform allows to be printed or viewed, as defined in Section 6.
3. Billing and Payment Model (Client ↔ aimenu)
The Service operates under a hybrid model of subscription in 30-day cycles and variable usage costs, charged exclusively to the Client (never to the End User — see Section 5).
3.1. Cost Structure
- Base Fee every 30 days: a fixed charge of $30 USD (or its equivalent in local currency) for each active Establishment. It includes access to the Platform, AI tools subject to the usage limits and permissions in force, administrative tools (stock and price control), hosting and updates.
- Variable Transaction Fee: a charge of $0.10 USD for each Order processed through the system, regardless of its type (on-site consumption, take-away or delivery) and with no maximum limit. A Client who does not use the ordering system generates no Orders and therefore does not incur this fee ("menu-only" mode).
- Reference prices, current promotions and discounts negotiated per establishment are those shown at any given time in the Client's administration panel or on the public Platform — that is the single source of truth, and it prevails over any prior communication.
3.2. Centralized Billing by Brand
Billing is managed at the Organization/Brand level, not per individual Establishment: a single payment subscription consolidates the cost of all active Establishments of that Brand into a single billing date, with a breakdown per Establishment visible in the panel.
Adding and removing Establishments. Each Establishment pays exactly for the time it exists in the Brand:
- An Establishment that is added is charged from the day it is created, in proportion to the time until the next charge, plus its fee in advance from that charge.
- An Establishment that is deleted leaves a credit balance for the time already paid that it will not use. The balance is deducted from the Brand's following charges, is not refunded in money, is not transferable to another Brand and is lost upon cancellation of the Subscription (it is applied to the final charge up to its amount and the rest is lost).
- The Orders of a deleted Establishment not yet billed are charged in the next charge.
3.3. Currency Conversion
Prices are denominated in United States Dollars (USD). For payments in local currency (e.g. ARS), the conversion uses the official reference Dollar rate of the BCRA.
3.4. Taxes
Published prices reflect aimenu's tax status in force at the time of contracting (Monotributo, VAT exempt). Should that tax status change (for example, to Registered Taxpayer), aimenu may incorporate the corresponding tax into the final invoiced price, which shall not constitute a unilateral or abusive price modification, but the reflection of a supervening legal obligation. Any such change will be communicated with reasonable prior notice.
3.5. Delegated Collection Model
Subscription payments are processed through Mercado Pago, under a delegated model: aimenu never captures, stores or directly processes the Client's card details, which is the sole responsibility of the payment provider. aimenu only determines the amount to be charged in each cycle and keeps the accounting record of what was billed.
3.6. Billing Cycle
The billing cycle is 30 calendar days from the activation of the subscription (not a calendar month). Payment is automatically debited from the registered payment method upon expiry of each cycle.
3.7. Trial Period ("Free Trial")
Every new account has access, once only and for its first Brand, to a trial period without needing to provide a card:
- 30 days free of the fee for the first Establishment of that Brand.
- Up to 1,500 free Orders for the Brand, shared by all its Establishments in chronological order during the trial. Deleting an Establishment does not return the free Orders it used.
Only the above is free: an additional Establishment added during the trial (which requires contracting the Subscription) is charged from the day it is created, in accordance with Section 3.2, and Orders beyond the free ones are charged to their Establishment.
If the Client contracts the Subscription before their trial period ends, the remaining days are preserved and the first charge is debited when the trial ends. That first charge is recalculated only once, between 3 and 1 days before it is debited, with the Establishments in force, the Orders beyond the free ones and that day's exchange rate (Section 3.3), and the Client is informed.
These trial period values may be modified in the future according to the commercial evolution of the Service. The values in force at any given time are those published.
3.8. Revenue Integrity Clause ("Smart Floor")
To guarantee the sustainability of the Service and prevent cost evasion through the systematic cancellation of orders, a Minimum Variable Billing Floor is established: the variable cost of each 30-day cycle is calculated on the greater of (1) the total of completed Orders and (2) 90% of the total Orders created in the system during the period, always excluding test Orders ("preview").
3.9. Subscription Cancellation
The Client may cancel their Subscription at any time from the administration panel:
- If the Subscription is active and up to date: the service continues normally until the end of the paid period. At the end of that period, only what was used and not yet charged is billed (the Orders of the cycle and, where applicable, the time of the Establishments added after the last charge), without renewing the base fee; the credit balance of Section 3.2 is applied to that charge and the remainder is lost. Only then does the Subscription move to a non-subscribed status.
- If the Subscription is in its trial period: if the Client did not add anything that is charged, cancellation has immediate effect and no charge is made. If they added additional Establishments or Orders beyond the free ones, cancellation takes effect when the trial ends: the service continues until then and on that day a single final charge for what was used is debited, with no fee. The Client may revert the cancellation until that final charge is confirmed (Section 3.7).
- If the Subscription is in arrears: cancellation has immediate effect, since there is no future cycle to protect.
- Cancellation never forgives outstanding debts. Issued billing receipts are immutable accounting records subject to enforcement; cancelling the subscription only interrupts future charges.
- No refunds are issued for periods already billed or partially used, unless otherwise required by law. The credit balance for a deleted Establishment (Section 3.2) is not a refund.
3.10. Additional Packs (Prepaid)
Generative AI services (e.g. image generation) and other finite-consumption packages that may be offered in the future are marketed through Credit Packs:
- Single and advance payment (Prepaid).
- Credits do not expire while the account is active.
- They are non-refundable and non-transferable between Organizations.
3.11. Exclusion of the Consumer Protection Regime (Client–aimenu Relationship)
The Client's contracting of the Service constitutes a commercial relationship between comparable parties, governed by the Civil and Commercial Code of the Nation in matters of commercial contracts, and not by Law No. 24.240 on Consumer Protection. The Client declares and warrants that they acquire the Service for the purpose of integrating it into their commercial, professional or business activity (the operation of one or more gastronomic Establishments), and not for final, personal, family or social consumption.
Consequently, and without prejudice to the cancellation conditions described in Section 3.9:
- The 10-day right of withdrawal ("repentance button") provided by art. 34 of Law No. 24.240 for distance contracts, typical of consumer relationships, does not apply.
- The conditions for cancellation, permanence and refunds of the Subscription are governed exclusively by the provisions of Section 3.9 of these Terms, without any additional conditions derived from the consumer protection regime being applicable.
This exclusion governs solely the commercial relationship between aimenu and the Client for the contracting of the Service. It does not affect, limit or reinterpret the rights that may correspond to the End User/Diner with respect to the Establishment in their capacity as a consumer (see Section 16), a relationship to which aimenu is not a party (see Section 5).
4. Establishment Charges to the Diner (distinct from aimenu's billing)
aimenu provides tools for the Establishment to configure its own charges towards its diners (e.g. cover charge, table service, packaging). These items:
- Are set, charged and collected exclusively by the Establishment, never by aimenu.
- aimenu only charges the Client the items detailed in Section 3 (Subscription, variable fee per Order and Packs) — no charge configured by the Establishment towards its diners generates any revenue for aimenu.
- It is the Establishment's responsibility to disclose such charges in accordance with consumer protection regulations (Law No. 24.240) and to disclose them before the diner places their order. The Platform may publish these charges at the foot of the digital menu to facilitate such compliance, but the legal responsibility for their correct application rests with the Establishment.
- Tips: are paid directly to the Establishment or its staff. aimenu does not process or intermediate the diner's payment (see Section 5).
5. Diner Payments — aimenu does not charge the End User
aimenu does not process, intermediate or receive payments from End Users/Diners. Payment for consumption is an act that occurs directly between the Diner and the Establishment (cash, card at the premises, or any other means the Establishment provides on its own), and the "paid" record within the system is an operational note by the Establishment, not a financial transaction intermediated by aimenu.
6. Receipts and Fiscal Invoicing
The receipts/tickets that the Platform allows to be printed or viewed when closing an order are internal, non-fiscal documents: they neither replace nor constitute a valid invoice before ARCA or any other tax authority. It is the Establishment's exclusive responsibility to issue the correct fiscal documentation through its own means.
7. Use of Artificial Intelligence Tools
The Platform incorporates artificial intelligence models to assist in the generation and translation of content, including but not limited to: product descriptions, images, translations into other languages and dietary/allergen labels (e.g. "coeliac-friendly", "vegan", "gluten-free").
7.1. Indicative nature of AI-Generated Content
All AI-Generated Content is produced by automated systems that may make mistakes. It is the exclusive and total responsibility of the Client (the human person in charge of uploading and publishing the menu) to review, correct and validate any AI-generated content before publishing it, especially dietary and allergen labels, since an error in this information may have consequences for a Diner's health.
- aimenu does not guarantee the accuracy, completeness or currency of any AI-generated label or description.
- aimenu assumes no liability for damages, losses or consequences of any nature —including harm to health— arising from a Diner having relied on an inaccurate, incomplete or outdated label or description.
- Establishments are strongly advised to instruct their staff so that, upon any query from a Diner about allergies or dietary restrictions, they verify the information directly in the kitchen before confirming the order, since the digital label is a guide, never a substitute for that human verification.
7.2. Ownership of Generated Content
All AI-Generated Content produced from the Client's instructions (texts, images, translations) is the property of the Client and their Brand. aimenu solely provides the technological tools for its generation and the facilities for its download; aimenu claims no intellectual property right whatsoever over such content.
- Content not linked to a product (e.g. generated images that the Client did not finish associating with any product in their catalogue) may be stored solely on the Client's local device (browser storage) so that they may download it if they wish. aimenu is not responsible for the loss of content not persisted on its servers (e.g. due to browser cache clearing, device change, or similar).
- The Client is solely responsible for verifying that the generated content (in particular images) does not infringe intellectual property rights, registered trademarks or image rights of third parties before publishing it. aimenu neither reviews nor guarantees such originality, and the Client shall hold aimenu harmless against any third-party claim arising from content the Client decided to publish (see Section 11).
7.3. AI Search for Diners
The Platform makes available to Diners an artificial-intelligence-assisted search tool ("Search with AI") that suggests products from the Establishment's menu based on a query written in natural language and, where applicable, on the dietary preferences that the Diner themselves declares.
- Indicative nature: the suggestions, product exclusions and messages produced by the tool are indicative and may contain errors. They are prepared on the basis of the information uploaded by the Client —in particular, the dietary and allergen labels of each product—, the accuracy of which is the exclusive responsibility of the Client in accordance with Section 7.1. The tool does not replace consulting the Establishment's staff, and aimenu assumes no liability for consumption decisions that a Diner makes based on it.
- Usage limits: the tool is included in the Base Fee, at no additional charge, and is subject to daily usage limits per Diner and per Establishment that aimenu sets and may adjust in order to ensure the sustainability of the Service. Once that limit is reached, the tool will be temporarily disabled until the following day, while the digital menu and the search for products by name remain operational. Reaching a usage limit does not constitute a breach by aimenu nor does it give rise to any right to a discount, refund or compensation of any kind.
- Availability: the provisions of Section 10.1 apply.
7.4. Connecting Third-Party Artificial Intelligence Assistants (MCP)
The Platform allows the Client, and the people to whom the Client grants access, to connect to their Brand or Establishments an artificial intelligence assistant chosen and contracted by them (for example, Claude, ChatGPT or Gemini), through the MCP protocol and with the permission profile that the Platform offers for their role.
- The assistant is a third party. aimenu does not provide, operate or control that assistant or the artificial intelligence model that runs it. Its use is governed by the terms and privacy policy of its provider, which the Client accepts directly with that provider.
- The data the assistant reads leaves aimenu at the Client's decision. By authorizing a connection, the Client instructs aimenu to deliver to that assistant the data that the authorized profile is allowed to read (for example, the catalog, the Establishment's settings, reservations or sales summaries). aimenu is not responsible for how the assistant's provider processes that data once delivered.
- What the assistant does, it does on behalf of the Client. Every action performed by a connected assistant (creating, modifying or deleting content, changing prices or settings) is considered to have been performed by the person who authorized the connection, with their permissions, and is their sole responsibility. The Client must review the results and revoke any connection they do not recognize.
- Limited access. MCP access is subject to usage limits. aimenu may temporarily suspend a connection, a Brand's MCP access or the entire MCP service in the event of excessive use, a security risk or abuse, without affecting the rest of the Service.
- No warranty regarding the assistant. aimenu does not guarantee the accuracy of what a third-party assistant interprets, suggests or performs; Section 7.1 on reviewing content before publishing it applies.
8. Account and Data Retention Policy
8.1. Accounts without a Paid Subscription
An account that exhausts its trial period (Section 3.7) without having paid any Subscription installment enters a disabled state, with a grace period of 10 days before proceeding as indicated in 8.2. This term applies equally to those who never contracted the Subscription and to those who contracted it but never paid any installment: the extended term of Section 8.2 protects the history of a Customer who actually paid.
8.2. Disabled Accounts (without an active Subscription)
While a Brand does not have an active Subscription (due to trial expiry or sustained arrears), its Establishments remain disabled: the Brand's public page remains accessible, but the operational routes of its Establishments display a generic "out of service" notice, without revealing the reason.
- After 6 months of remaining in this state, aimenu proceeds to the total deletion of the Brand's operational data (database and stored files) and to the release of the associated subdomain, which becomes available again for registration by third parties. This 6-month term applies to Brands that paid at least one installment of the Subscription; those that never did are governed by the term of Section 8.1.
- Before deletion, aimenu undertakes to send notices to the email address on record with reasonable advance notice (at least 30 and 7 days' prior warning).
8.3. Deletion Upon Request
Any Client may request the early deletion of their account and data through the panel or the support ticket system, regardless of the automatic timeframes described above, in accordance with the provisions of Law No. 25.326.
9. Subdomain Legitimacy and Prohibition of Squatting ("Anti-Squatting")
By registering a subdomain on the Platform, the Client declares under oath that:
- They represent or are legitimately authorized to act on behalf of the brand or commercial establishment identified by said subdomain.
- The subdomain is not registered for speculative purposes, for squatting ("cybersquatting"), or to impersonate a third party.
Prohibited uses: registering the subdomain of a brand or business the Client does not control, operating multiple subdomains in order to block their availability to third parties, or impersonating a recognized brand.
Recovery power: aimenu.ar reserves the inalienable right to suspend and reassign, without prior notice or economic compensation, any subdomain registered in violation of this clause. The recovery decision shall be final.
Impersonation reporting: third parties who identify a subdomain registered in bad faith may submit a formal claim through the Platform's support ticket system. aimenu will assess the claim and, if the irregularity is confirmed, will proceed to recover the subdomain within no more than 15 business days from detection.
Anti-abuse economic limit on the creation of new Brands: the Client's subscription to a new brand requires that all previous ones be active. This limit is economic, not numerical, and seeks to prevent the squatting of subdomains without real commercial use.
10. Service Availability and Support
10.1. No availability guarantee (SLA)
The aimenu service is provided "as is" and "as available". No specific availability level is guaranteed. aimenu uses infrastructure providers of recognized quality and international standard, and applies technical resilience mechanisms (retry chains and backup providers, especially in its artificial intelligence functionalities) with the aim of delivering a service that is as uninterrupted as possible, without this constituting a contractual uptime guarantee.
10.2. Support
Client support is provided through a ticket system within the Platform, assisted by artificial intelligence tools to expedite diagnosis and response. No specific response time nor the resolution of all submitted tickets is guaranteed, although aimenu endeavours to attend to them with the greatest reasonable promptness within its capabilities as a sole trader.
11. Acceptable Use and Restrictions
The Client undertakes not to use the Service to:
- Host illegal, offensive or pornographic content, or content that infringes third-party intellectual property rights.
- Reverse engineer, decompile or attempt to extract the Platform's source code.
- Attempt to manipulate or circumvent the charging system ("Smart Floor") through scripts or automation.
- Resell or sublicense the Service without aimenu's express authorization.
- Publish AI-Generated Content without the human review required in Section 7, especially when it involves health/allergy information.
- Use MCP access or a connected assistant to extract data from the Platform in bulk, or to bypass, evade or circumvent the usage, security or access limits established by aimenu.
Failure to comply with these rules will result in the immediate cancellation of the account without prior notice or right to a refund.
In addition, the conduct described in item 6 may give rise to the corresponding legal action.
12. Intellectual Property
aimenu.ar retains all rights, title and interest in the Service, including software, designs, logos and algorithms.
The Client retains full ownership of their commercial data (menu, prices, customer list) and of all Generated Content (their own or AI-assisted, in accordance with Section 7.2) uploaded to the Platform.
13. Limitation of Liability
The Service is provided "as is" and "as available". aimenu does not warrant that the service will be uninterrupted or error-free. To the maximum extent permitted by law, aimenu shall not be liable for indirect, incidental, special, consequential or punitive damages, nor for loss of profits or revenue, incurred directly or indirectly, including — without limitation — the circumstances described in Sections 7.1 (accuracy of AI-Generated Content) and 7.2 (loss of content not persisted on servers).
14. Indemnification
The Client agrees to hold aimenu, its officers and collaborators harmless against any claim, damage, loss or expense (including legal fees) arising from: (a) breach of these Terms; (b) Content Generated or uploaded by the Client, including their failure to review it in accordance with Section 7; or (c) use of the Service in violation of third-party rights.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the Argentine Republic.
For any dispute arising from the commercial relationship between aimenu and the Client (an individual or legal entity contracting the Service for commercial purposes), the parties submit to the jurisdiction of the ordinary courts having jurisdiction at aimenu's legal domicile (Santiago del Estero, Argentina), expressly waiving any other venue that might apply. This provision is consistent with the commercial (non-consumer) nature of that relationship, as described in Section 3.11.
Notwithstanding the foregoing, when the End User qualifies as a consumer or user within the terms of Law No. 24.240 —in their consumer relationship with the Establishment, to which aimenu is not a party (Section 5)—, the public policy rules protecting their venue shall apply, including the possibility of bringing their claims before the court corresponding to their own domicile, as provided by article 36 of said law.
16. Consumer Protection
This section refers exclusively to the consumer relationship between the Diner and the Establishment at the gastronomic venue. The commercial relationship between aimenu and the Client (for the contracting of the Subscription) is strictly commercial in nature and is excluded from the regime of Law No. 24.240, in accordance with Section 3.11.
End Users who qualify as consumers have the right to file claims with the Consumer Protection agencies of their jurisdiction regarding matters connected to the consumption carried out at the establishment. aimenu is not a party to the consumer contract between the Diner and the Establishment (Section 5), so claims relating to product quality, the price charged or the service provided at the premises must be directed to the Establishment. Claims relating specifically to the functioning of the Platform may be channelled through the support ticket system, which will be addressed promptly and will constitute efficient input for the Platform.
17. Governing Language
These Terms and Conditions, as well as the Privacy Policy, are originally drafted in Spanish (Argentine Republic, .ar domain). The English and Portuguese versions available on the Platform —including those generated with artificial intelligence assistance— are offered as a convenience for End Users of other languages. In the event of any discrepancy or conflict of interpretation between versions, the Spanish version shall always prevail.
18. General Provisions
- Severability: if any clause of these Terms is declared invalid or unenforceable, the remaining provisions shall remain in full force.
- Force majeure: aimenu shall not be liable for failures arising from causes beyond its reasonable control (infrastructure provider failures, connectivity outages, events of force majeure or acts of God).
- Entire agreement: these Terms, together with the Privacy Policy, constitute the entire agreement between the parties with respect to the Service, and supersede any prior understanding.
- Assignment: the Client may not assign their rights or obligations under these Terms without aimenu's prior authorization.
19. Modifications to the Terms
We reserve the right to modify these Terms at any time. We will notify significant changes through the control panel or by email. Continued use of the service after the notification constitutes acceptance of the new Terms.
